  • • zkGrants is experimental software. Use at your own risk.
  • • Smart contracts are immutable. Once you send funds, only the protocol rules control them.
  • • We're not responsible for bugs, hacks, market conditions, or your financial decisions.
  • • Don't use this for illegal stuff.
  • • Code is law. The smart contracts are the ultimate source of truth.

1. Acceptance

By accessing or using zkGrants ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part, you may not use the Service. These Terms constitute a legally binding agreement between you and zkGrants.

2. Nature of the Service

zkGrants is a decentralized protocol that facilitates trustless software grants using blockchain technology and zero-knowledge proofs. The Service provides:

  • A web interface to interact with smart contracts on Ethereum and Solana
  • Proof generation services to verify GitHub outcomes
  • Off-chain infrastructure for grant discovery and coordination

The smart contracts are the authoritative system. The website is merely a convenient interface. Contract code governs all on-chain operations.

3. Eligibility

To use zkGrants, you must:

  • Be of legal age in your jurisdiction
  • Have the legal capacity to enter into binding agreements
  • Not be located in, or a resident of, any jurisdiction where cryptocurrency transactions are prohibited
  • Not be on any sanctions list or prohibited from using blockchain-based services

4. No Custody, No Control

zkGrants is a non-custodial protocol. We do not:

  • Hold, control, or have access to your private keys
  • Have the ability to reverse or modify transactions
  • Control smart contract behavior after deployment
  • Have custody of escrowed funds

Once funds are sent to a grant escrow contract, only the protocol rules (encoded in the smart contract) determine their release. We cannot intervene, even if asked.

5. Assumption of Risk

YOU EXPRESSLY ACKNOWLEDGE AND ASSUME ALL RISKS ASSOCIATED WITH:

  • Smart contract risk: Bugs, exploits, or unforeseen behavior in deployed contracts
  • Blockchain risk: Network congestion, forks, reorganizations, or protocol changes
  • Market risk: Cryptocurrency price volatility and potential total loss of value
  • Regulatory risk: Changes in laws that may affect your ability to use the Service
  • Technical risk: Software bugs, infrastructure failures, or proof generation errors
  • Counterparty risk: Other users may not act in good faith
  • Key management risk: Loss of private keys means permanent loss of funds

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Smart contracts are free from bugs or vulnerabilities
  • Proofs will always generate successfully
  • The Service will meet your requirements
  • Any information provided is accurate or complete

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZKGRANTS AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY:

  • Direct, indirect, incidental, special, or consequential damages
  • Loss of profits, data, use, or goodwill
  • Loss of cryptocurrency or digital assets
  • Damages resulting from smart contract behavior
  • Damages from unauthorized access or security breaches
  • Damages from third-party actions or services

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

8. Indemnification

You agree to indemnify, defend, and hold harmless zkGrants, its operators, contributors, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

9. Prohibited Uses

You agree not to use zkGrants to:

  • Violate any applicable laws or regulations
  • Launder money or finance illegal activities
  • Evade sanctions or export controls
  • Defraud other users or create fake grants
  • Exploit vulnerabilities in smart contracts
  • Interfere with or disrupt the Service infrastructure
  • Attempt to circumvent security measures or access restrictions

10. Platform Fee

zkGrants charges a 4% fee on funded grants. This fee is taken at funding time and is generally non-refundable. The fee supports ongoing platform development and infrastructure costs. Fee structure may change with notice.

11. Intellectual Property

The zkGrants name, logo, and branding are proprietary. The smart contracts and core protocol are open source — check our repositories for applicable licenses.

Grant content and descriptions are owned by their respective creators. By posting content, you grant zkGrants a license to display it on the platform.

12. Modifications & Termination

We may modify these Terms at any time. Significant changes will be announced on the platform. Continued use after modifications constitutes acceptance.

We may suspend or terminate access to the web interface at any time, for any reason, without notice. However, the smart contracts will continue to function independently on-chain.

13. Governing Law & Disputes

These Terms shall be interpreted in accordance with principles of decentralized, borderless technology. To the extent traditional law applies, disputes will be resolved through binding arbitration.

You waive any right to participate in class actions or class-wide arbitration. Each party bears its own costs and fees.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and zkGrants regarding the Service. They supersede all prior agreements and understandings.
